For clients under a managed support agreement, any service level commitments regarding availability and response times will be set out in the applicable written agreement, and those commitments control for that engagement.

All fees are exclusive of applicable taxes, duties, and levies, which are your responsibility unless the applicable law provides otherwise. We may revise our rates for future engagements, but any rate change will not affect a signed agreement for work already in progress.

We will perform our services in a professional and workmanlike manner consistent with industry standards. Apart from this, the website and all services are provided on an as is and as available basis, without warranties of any kind, whether express or implied.

To the maximum extent permitted by applicable law, DGJ SOLUTIONS LLC and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or lost data, arising out of or related to these terms or the use of the website or services.
Our total aggregate liability arising out of or related to these terms will not exceed the greater of the amount actually paid by you to us for services during the twelve months preceding the event giving rise to liability, or one hundred dollars, whichever is greater.
The limitations and exclusions in this section apply regardless of the legal theory on which a claim is based, whether contract, tort, negligence, strict liability, or otherwise, and they apply even if we have been advised of the possibility of such damages. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of these limitations may not apply to you. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

Confidential information does not include information that is publicly known, independently developed, or rightfully received from a third party.
This obligation continues after the termination of these terms for as long as the information remains confidential under applicable law.

These terms remain in effect until terminated by either party. You may terminate these terms by ceasing to use the website. We may terminate or suspend your access to the website or services at any time, with or without notice, if we reasonably believe you have violated these terms or applicable law.
Sections that by their nature should survive termination, including intellectual property, warranties and disclaimers, limitation of liability, indemnification, confidentiality, and governing law, will survive termination of these terms.
Third Party Services
Our website or services may integrate with or link to third party products, platforms, or services. We do not control those third party services and are not responsible for their content, availability, or practices. Your use of third party services is subject to their own terms and policies.
Any reference to a third party product or service on our website does not constitute an endorsement or recommendation unless we expressly state otherwise.
Changes to These Terms
We may update these Terms of Service from time to time to reflect changes in our practices, services, or legal requirements. When we make changes, we will revise the effective date at the top of this page.
If we make material changes, we will take reasonable steps to notify you, such as by posting a notice on our website. Your continued use of the website after the revised terms take effect constitutes your acceptance of the updated terms.
Governing Law and Disputes
These terms are governed by and construed in accordance with the laws of the State of Utah, United States, without regard to its conflict of law principles. You and we agree to submit to the personal and exclusive jurisdiction of the courts located in Utah for the resolution of any dispute arising out of or related to these terms.
Before initiating any formal legal action, the parties agree to make a good faith effort to resolve any dispute through informal negotiation. If a dispute cannot be resolved informally, the parties may pursue the remedies available to them under applicable law.

Independent Contractor Relationship
DGJ SOLUTIONS LLC and the client are independent contractors, and nothing in these terms creates a partnership, joint venture, agency, franchise, or employment relationship between the parties. Neither party has the authority to bind the other or to incur obligations on the other behalf.
Each party is responsible for its own personnel, taxes, benefits, and business expenses. Our personnel are not your employees, and your personnel are not our employees. This section applies regardless of how any engagement is structured or described in day to day correspondence.
Severability and Waiver
If any provision of these terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision will be modified or severed to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
Our failure to enforce any provision of these terms does not constitute a waiver of that provision or of our right to enforce it in the future. A waiver of any provision will be effective only if it is made in writing and signed by the party granting the waiver.
Entire Agreement
These Terms of Service, together with our Privacy Policy and any signed proposal or statement of work, constitute the entire agreement between you and DGJ SOLUTIONS LLC regarding the subject matter of these terms and supersede all prior or contemporaneous understandings, agreements, representations, and warranties, whether written or oral.
If any inconsistency arises between these terms and a signed written agreement for a specific engagement, the signed agreement controls with respect to that engagement. No modification of these terms will be effective unless it is made in writing and signed by an authorized representative of each party.
